Responsibilities:

Corporate Subsidiary Governance & Maintenance: 

  • Set up, maintain and manage corporate obligations of all domestic subsidiaries and Secretary of State Filings
  • Assist in maintaining domestic corporate structure charts and domestic subsidiary lists, and assist in permitting/licensing on various matters

 

Commercial Contracting: 

  • Assist in administering the contract intake process, including managing overall contract workflow, and supporting in-house attorney with contract life-cycle management
  • Assist in the preparation, negotiation, review, and execution of contracts
  • Assist with maintenance of electronic and hard copy files and perform other job-related duties as assigned 
  • Create and maintain accurate records of all contracts and acts as the point person for questions on contractual obligations
  • Support contract finalization and execution, including coordination regarding internal approval processes 

    Litigation:
  • Track all litigation and maintain appropriate litigation files, typing legal document memoranda and other correspondence such as letters and specific pleadings, when necessary 
  • Gather appropriate information for production of documents and discovery requests
  • Implement and manage litigation holds
  • Draft legal documents, communications, and reports under attorney supervision 
  • Conduct routine and specific legal and factual information research and data compilation
  • Update legal tracking information (budgeting, reporting, invoices, etc.)
  • Assist with outside counsel billing policy
  • Act as main point of contact for legal resources
  • Monitor legal department’s email inboxesNotarizes documents related to University business as requested
  • Support continuous improvement of internal workflows, review processes, and other legal policies and operations.
  • Performs other duties as assigned by the General Counsel.

Qualifications

  • 5+ years of relevant in-house and/or top-tier law firm experience working as a corporate paralegal or legal manager
  • 3+ years of contract management experience, including familiarity with negotiating, drafting, and analyzing commercial contracts
  • Proficiency in Microsoft Office applications, Adobe Acrobat, legal entity management, and related software (preferred)
  • Strong organizational, analytical skills, and negotiation skills
  • Excellent written and verbal communication skills 
  • Ability to work within a complex and constantly changing, fast-paced, demanding work environment
  • Ability to build and maintain positive working relationships with internal functions in a remote environment, as well as, external advisors
  • Good judgment and ability to think through legal risk in practical real-world terms
  • Must maintain a positive attitude, be a self-starter, be dependable, take pride in work product, and have a sense of humor
